Terms and Conditions – Online Services

These additional terms supplement and should be read together with our main Terms and Conditions and Privacy Policy available on our website. In case of conflict, these service-specific terms take precedence for online professional courses, self-paced programs, mentoring, and consulting services.

These Terms and Conditions apply exclusively to all online professional courses, self-paced programs, mentoring, and consulting services provided by Francesco Cirillo FZE-LLC. By booking a session, purchasing a program or package, or accessing any of our online services or materials, you agree to be bound by the following terms.

1. Booking and Program Access

You may book online courses, mentoring, or consulting sessions directly via our website or through written agreement. Once confirmed, you will receive the relevant booking or access information by email.

For scheduled live services, each booking is valid only for the specific date and time confirmed at the time of purchase or subsequently agreed in writing.

For self-paced programs, no fixed class time applies unless expressly stated otherwise. Access begins on the program opening date or other access date communicated at purchase. Where content is released progressively, lessons and materials may become available according to the program schedule rather than all at once.

2. Payment

Payments are accepted via Stripe (credit/debit cards). For larger engagements, bank transfers are available on request.

Full payment must be received before the start of the service or activation of program access, unless otherwise agreed in writing.

Account Information: You agree to provide current, complete and accurate information for all bookings. You agree to promptly update your account and payment information, including email address and payment details, so that we can complete transactions and contact you as needed.

Order Rights: We reserve the right to refuse any booking, limit quantities, or cancel orders that appear fraudulent or violate these terms.

3. Use and Access

Access to all online services, programs, sessions, and related materials is personal and non-transferable unless expressly stated otherwise. You may not share login credentials, resell sessions, or distribute any materials provided without written consent.

User Obligations: You must:

  • Comply with all reasonable security requirements for online sessions
  • Maintain appropriate professional behavior during all interactions
  • Provide accurate information and keep account details current
  • Use services only for their intended purpose

Behavior Standards: We reserve the right to remove any participant whose behavior is deemed inappropriate or disruptive. In such circumstances, we will neither refund fees nor reimburse any other costs.

We reserve the right to terminate access if these terms are violated.

4. Self-Paced Programs, Review, and Feedback

Self-paced programs may consist of prerecorded video lessons, exercises, worksheets, quizzes, downloadable materials, scheduled content releases, and other professional learning activities.

Certain programs may allow participants to submit assignments or exercises for personal review by Francesco Cirillo. Where included, the applicable program page will describe the number of submissions, the type of feedback provided, any resubmission rights, and applicable deadlines.

Wording such as “Reviewed by Francesco” describes a review and feedback service only.

4.1 No Certification or Professional Credential

Francesco Cirillo FZE-LLC provides professional courses and training services. Participation in or completion of our courses does not constitute certification, accreditation, a professional qualification, or a professional credential.

Completion of exercises, submission of assignments, assessment, review, or feedback by Francesco Cirillo does not entitle a participant to represent themselves as certified by Francesco Cirillo FZE-LLC.

5. Cancellation Policy

5.1 Self-Paced Programs

A full refund may be requested before access to a self-paced program begins.

Once program access has begun, payments are non-refundable except where required by applicable law or where Francesco Cirillo FZE-LLC is unable to provide the purchased program.

5.2 Workshop and Event Cancellations by the Customer

For scheduled workshops and events with fixed dates:

  • More than 14 days before the session: Full refund
  • 8–14 days before the session: 50% refund
  • 7 days or fewer before the session or after start: No refund

5.3 Individual Sessions and Packages

Session Validity: All individual sessions and session packages must be consumed within 30 days from the purchase date. (For Premium Plans, sessions must be consumed within 30 days from the specific starting date of activities as communicated in writing at purchase.)

No Refunds: Individual sessions and packages are non-refundable once purchased. Sessions not used within the validity period will expire without refund or extension.

Rescheduling: Individual sessions may be rescheduled up to 24 business hours before the scheduled time, subject to availability, provided they remain within the 30-day validity period.

5.4 Cancellation by Francesco Cirillo FZE-LLC

We reserve the right to cancel or reschedule any online service, change online platforms, change instructors, or modify session content. You will be notified at least 7 days in advance whenever possible and issued a full refund if the session cannot be rescheduled.

In the event of illness or unforeseen circumstances affecting the provider, sessions may be rescheduled as soon as possible. If rescheduling is not feasible within a reasonable timeframe, you will receive a full refund for the affected session.

We are not liable for any indirect costs or consequences resulting from such changes.

5.5 Processing and Contact

All cancellation requests must be emailed to team@francescocirillo.com. Refunds, where applicable, are processed within 28 days via the original payment method.

5.6 Missed Sessions

We do not offer make-up sessions or additional materials for missed online appointments, unless otherwise agreed in writing. Missed sessions count as consumed sessions and cannot be refunded or rescheduled outside the validity period.

6. Intellectual Property

Online course materials, videos, exercises, mentoring tools, consulting frameworks, software, trademarks, and related materials are protected by intellectual-property rights owned by Francesco Cirillo, Francesco Cirillo FZE-LLC, and/or their respective licensors or other applicable rights holders.

You are granted a non-exclusive, non-transferable, revocable license to use the materials for personal or internal business purposes. Redistribution, recording, or publication is prohibited without written permission.

User Submissions: Any feedback, suggestions, or materials you provide during sessions may be used by us for service improvement purposes. You retain ownership of your business information while granting us rights to use general insights for educational purposes.

7. Service Delivery and Warranties

Professional Standards: We make reasonable efforts to provide online services professionally, diligently, and substantially as described in the applicable program, product, or session information.

Technical Disclaimers: We do not warrant that:

  • Online services will always be available, uninterrupted, timely or error-free
  • Technical defects will be immediately corrected
  • Platforms will be completely secure or free from bugs, viruses, or technical issues
  • Any particular level of knowledge or specific results will be achieved

Third-Party Tools: We may provide access to third-party platforms and tools. These are provided “as is” without warranties. You should familiarize yourself with third-party terms before use.

8. Limitation of Liability

Online services are delivered professionally and in good faith, but we make no guarantees of specific results. To the fullest extent allowed by law, our liability is limited to the amount paid for the online service in question.

We shall not be liable for any indirect, special, incidental, or consequential damages, including lost profits, business interruption, or data loss, regardless of whether we were advised of the possibility of such damages.

9. Confidentiality

Both parties agree to keep confidential any non-public, sensitive, or proprietary information exchanged during the delivery of online training, mentoring, or consulting services.

Protected Information includes:

  • Business strategies, processes, and methodologies
  • Technical information and commercial terms
  • Performance data and case study details
  • Any information specifically designated as confidential

This obligation does not apply to information that:

  • Was already lawfully known to the receiving party before disclosure
  • Becomes public through no breach of confidentiality
  • Is lawfully received from a third party without restriction
  • Is independently developed by the receiving party without reference to the confidential information
  • Must be disclosed by law, court order, or government regulation (with prior notice to the disclosing party, when legally permitted)

10. Quality Assurance and Feedback

To maintain consistency and quality of service delivery, participants may receive follow-up requests for feedback in the form of satisfaction surveys. This feedback will be reviewed and used for continuous improvement of content and delivery methods.

Testimonials: With your consent, we may use your feedback or experience as testimonials for marketing purposes, while maintaining confidentiality of sensitive business information.

11. Governing Law and Jurisdiction

These Online Services Terms supplement our main Terms and Conditions. The governing law and jurisdiction applicable to these Online Services Terms are those specified in our main Terms and Conditions, unless otherwise agreed in a separate written agreement.

Nothing in this section limits any mandatory consumer rights or jurisdictional protections that apply under applicable law.
